The Board is primarily a group
of Shareholding Members, elected by the other Shareholding
Members, to direct the affairs of the Association. The
Board has the power to co-opt other individuals to serve
alongside the elected members. The Board has ultimate
responsibility for the governance of the Association. The
Board’s central role is to direct the organisation’s work,
that is, to determine strategic direction and policies. The
implementation of the Board’s policies is delegated to the
paid staff of the Association.
The Rules of the Association set
out in broad terms the Board’s functions, rules on who may
be Board members, how elections are to be carried out, and
the management of Board meetings.
In order to give more
detailed guidance on how the Board conducts its affairs, the
Association has ancillary documents on various aspects of
Board conduct:

the arrangements for membership and meetings of the Board.

describing the work that the Board is authorised to do and
its primary purposes.

Skills and
Experience of Board Members
The Association is mindful of the need to ensure that its
Board has the collective experience of skills in order
to effectively take responsibility for its affairs. The following
are the skills and expertise required of the Board as a whole:

Leadership and working as an effective as a team

Direct knowledge of the needs and aspirations of the communities and people served
-
General business, financial and management skills
-
Knowledge of the external framework, including financial markets,
political imperatives and operating environments in which the
Association works
-
Other relevant and specialist skills such as commercial,
financial, investment, risk management, legal, health, social services, property management
and housing development
